1. Agreement to These Terms
These Terms of Use ("Terms") govern your access to and use of soletagolf.com and any other website, landing page, form or online tool operated by 536 Single RE, LLC that links to these Terms (together, the "Sites").
By accessing or using the Sites, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Sites.
2. Who We Are
The Sites are operated by 536 Single RE, LLC, a Florida limited liability company ("Soleta," "we," "us," or "our"), which owns Soleta Golf Club and the residential community marketed as Soleta Residences, located at 33720 Singletary Road, Myakka City, Florida 34251.
3. Eligibility
The Sites are intended for use by adults aged 18 or over. By using the Sites you represent that you are at least 18 and legally able to enter into these Terms.
4. No Offer; Information Is Not a Contract
The Sites are provided for general informational and marketing purposes.
No offer of real property. Nothing on the Sites constitutes an offer to sell, or a solicitation of an offer to buy, real property in any jurisdiction in which such an offer or solicitation is prohibited, or in which prior registration, filing or qualification is required and has not been completed. Void where prohibited.
No offer of securities. Nothing on the Sites constitutes an offer to sell or a solicitation of an offer to buy any security or any membership, partnership or other interest in Soleta or any affiliated entity.
No contract is formed. Submitting a form, joining a list, selecting a homesite on the map or communicating with our team does not create a contract, reserve a homesite, secure pricing, or confer any right in any property, plan or membership. A binding agreement arises only upon a written purchase and sale agreement, membership agreement or construction contract signed by all parties, and the terms of that document govern over anything on the Sites.
No reliance. Do not rely on the Sites in making a purchase decision. Rely on the executed transaction documents, your own inspection of the property, and the advice of your own attorney, broker, lender, accountant and other advisors.
5. Property, Plans, Renderings and Pricing
Renderings and depictions. Renderings, illustrations, artist’s impressions, site plans, floor plans, elevations, virtual tours and photographs are conceptual and are provided for illustration only. They may depict features, finishes, furnishings, landscaping, elevations or views that are not included in any stated price, that are optional at additional cost, or that are not yet built. Photographs may include locations, homes and features that are not part of any offering.
Dimensions and areas. Room dimensions, square footages, lot acreages and other measurements are approximate, may be measured by different methods, and are subject to construction variance. Acreage and boundaries shown on any map are approximate and are not a survey. Do not rely on them for any purpose requiring precision.
Specifications change. Plans, specifications, materials, features, amenities, dimensions and prices are subject to change or withdrawal without notice.
Prices. Where a homesite price is displayed, it is the current asking price for that homesite alone. It does not include the cost of designing or constructing a residence, options or upgrades, impact, permit or utility fees, closing costs, club initiation fees, dues or assessments, association charges, insurance or taxes. Homesites for which no price is displayed are available on request. We do not publish a total cost of ownership, a combined homesite-and-construction figure, or an estimated construction range, and any such figure you may encounter elsewhere is not ours and should not be relied upon.
Amenities. Amenities described as planned, proposed or under construction are not guaranteed and may be modified, relocated, delayed or not built. Access to club facilities is governed by the club’s governing documents, rules, hours and availability.
Third-party information. Information about surrounding roads, services, businesses, travel distances and facilities is provided as a convenience, is drawn from sources we believe reliable, and may change. Distances are approximate and measured from the community entrance. Any drive time is an estimate only and will vary with conditions.
6. Homesite Availability and Status
Status indicators shown on the Sites — including available, on hold, under contract and sold — are provided as a convenience and are updated periodically. They may not reflect real-time availability, and a homesite shown as available may be unavailable at the moment you inquire.
Selecting a homesite on the map, requesting details, or being added to any list does not reserve or hold that homesite. Homesites are sold on the terms of an executed purchase and sale agreement and are subject to prior sale.
7. Club Membership
Membership in Soleta Golf Club is governed by the club’s membership plan, bylaws, rules and application documents. Nothing on the Sites constitutes an offer of membership, an approval of any application, or a guarantee of membership availability, category, timing or transferability.
Membership categories, caps, initiation fees, dues, assessments, privileges and the terms on which membership attaches to a residential purchase are subject to change at the club’s discretion in accordance with its governing documents. Membership applications are subject to review and approval.
8. Designated Builders and Other Third Parties
Every residence at Soleta is constructed by a Designated Builder. Designated Builders are independent companies. They are not our agents, employees, partners or joint venturers, and we are not a party to any contract between you and a builder.
We do not guarantee any builder’s pricing, availability, schedule, workmanship, materials, performance or warranty, and we are not responsible for any representation made by a builder, broker, lender, title agent, association or other third party. The identity and number of Designated Builders may change.
9. Equal Housing Opportunity
We are committed to the letter and the spirit of United States policy for the achievement of equal housing opportunity. We do not discriminate on the basis of race, color, religion, sex, disability, familial status or national origin, or on the basis of any other characteristic protected by applicable federal, state or local law.
The Sites do not provide information about schools, school quality, demographics or neighborhood composition. Prospective purchasers should conduct their own research on any such matter of importance to them.
10. Communications
By providing your contact details, you agree that we may contact you about your inquiry using the details you provide, including by email, telephone and — where you have consented — text message. Consent to receive marketing text messages is not a condition of purchasing any property, membership or service. You may withdraw consent at any time as described in our Privacy Policy. Message and data rates may apply.
Any feedback, suggestion, idea or other material you send us that is not personal information is provided on a non-confidential basis, and you grant us a perpetual, worldwide, royalty-free license to use it without restriction or compensation.
11. Intellectual Property
The Sites and all content on them — including text, photographs, film, renderings, floor plans, site plans, maps, graphics, logos, layout, design and software — are owned by us or our licensors and are protected by copyright, trademark and other laws. "Soleta," "Soleta Golf Club," "Soleta Residences," "The Colt" and associated logos and marks are our trademarks and may not be used without our prior written permission.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Sites for your personal, non-commercial use in evaluating a possible purchase or membership. All other rights are reserved.
12. Restrictions on Use
You may not:
- copy, reproduce, republish, distribute, sell, license or create derivative works from any content on the Sites, except as expressly permitted above;
- use any robot, spider, scraper, crawler or other automated means to access, monitor, index or extract content or data from the Sites, or circumvent any measure we use to prevent or restrict such access;
- use content from the Sites to train, fine-tune, benchmark or otherwise develop any machine learning or artificial intelligence model or dataset, without our prior written permission;
- harvest names, email addresses or telephone numbers from the Sites, or use them for unsolicited commercial communication;
- use the Sites to advertise, solicit or promote any product, service or property other than in a communication addressed to us;
- attempt to gain unauthorized access to the Sites, our systems, any account, or any data not intended for you, or interfere with the operation or security of the Sites;
- submit false, misleading or fraudulent information, or impersonate any person; or
- use the Sites in violation of any applicable law or these Terms.
13. Third-Party Sites and Listings
The Sites link to websites and services we do not control, including Designated Builder websites, real estate listing portals, mapping services and social media platforms. We provide those links for convenience only. We do not endorse, and are not responsible for, the content, accuracy, availability, security or practices of any third-party site or service. Where our properties are listed on a multiple listing service or a real estate portal, the presentation, accuracy and availability of that listing on the third-party platform is outside our control.
14. Accessibility
We aim to make the Sites usable by as many people as possible and design against the Web Content Accessibility Guidelines. If you encounter a barrier to using any part of the Sites, or need information in an alternative format, contact us using the details in Section 21 and we will work with you to provide the information you need.
15. Disclaimer of Warranties
THE SITES AND ALL CONTENT ON THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, CURRENCY OR RELIABILITY OF ANY CONTENT.
WE DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT ANY DEFECT WILL BE CORRECTED. NOTHING IN THIS SECTION LIMITS ANY WARRANTY OR OBLIGATION EXPRESSLY GIVEN IN AN EXECUTED PURCHASE AND SALE AGREEMENT, MEMBERSHIP AGREEMENT OR CONSTRUCTION CONTRACT, OR ANY RIGHT THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER SOLETA NOR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS OR AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, IN WHICH CASE THIS SECTION APPLIES TO THE FULLEST EXTENT PERMITTED.
This section applies to your use of the Sites. It does not limit rights or remedies arising under an executed purchase and sale agreement, membership agreement or construction contract, which are governed by those documents.
17. Indemnification
You agree to indemnify and hold harmless Soleta and its members, managers, officers, employees, agents and affiliates from any claim, demand, loss, liability, damage, cost or expense, including reasonable attorneys’ fees, arising out of your use of the Sites, your violation of these Terms, or your violation of any law or the rights of any third party.
18. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or to the Sites are governed by the laws of the State of Florida, without regard to its conflict of laws rules. You agree that the exclusive venue for any such dispute is the state or federal courts located in Manatee County, Florida, and you consent to the personal jurisdiction of those courts.
19. Changes to the Sites and to These Terms
We may modify, suspend or discontinue any part of the Sites at any time without notice. We may also revise these Terms from time to time. When we do, we will change the "Last Updated" date above and post the revised Terms on the Sites. Your continued use of the Sites after a change takes effect constitutes acceptance of the revised Terms. If you do not agree to a change, stop using the Sites.
20. General
Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms. We may assign them in connection with a merger, financing, reorganization or sale of assets.
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Sites, and supersede any prior understanding on that subject. They do not supersede any executed purchase and sale agreement, membership agreement or construction contract.
Survival. Sections 4, 5, 10 through 18 and 20 survive any termination of your use of the Sites.
Headings. Headings are for convenience only and do not affect interpretation.
